--Apple, Google, Spotify gear up for digital music sales
INTERNET BUSINESS NEWS-(C)1995-2011 M2 COMMUNICATIONS
25 February 2011 -- Apple (NASDAQ:AAPL), Google (NASDAQ:GOOG) and Spotify will unveil new digital music services this summer in the hope of reversing the long-lasting decline in music sales, the Financial Times reported.
Apple's strategy is based on the use of remote storage, or the cloud, which would allow users of its iTunes store to keep their collections on the cloud and have access to them from any device produced by the company.
Google has also unveiled plans to launch a music download store as early as this March, but it has not yet signed all contracts with the labels. People familiar with the matter said that Google was hoping to link the new store to a digital storage service that would also enable users to keep copies of their tracks online.
Meanwhile, Europe's Spotify is also getting closer to the launch of its subscription service in the US.

Wells Fargo, Norwest agree on $31.9 billion merger
AP Online
06-08-1998
SAN FRANCISCO (AP) _ Wells Fargo & Co. and Norwest Corp. are merging into what would be the nation's seventh-largest bank _ the latest deal in a rush by banks, brokerages and insurers to expand their base of customers while lowering costs.
The combined institution, to retain the storied Wells Fargo name, would have about $191 billion in assets, more than 90,000 employees, about 20 million customers and 5,777 financial services outlets worldwide. It would have more branches and Internet customers than any other U.S. bank.
The deal, a stock swap valuing Wells Fargo at about $34 billion, was announced Monday before markets opened. But as Norwest shares fell 7.2 percent during the day, the value of the transaction shrank to $31.9 billion.
Warren Buffett, the legendary investor who is one of the world's richest men, stood to get more than $2.5 billion for his 8 percent stake in Wells Fargo.
The proposed deal is only the latest banking merger to be announced as companies scramble to more efficiently attract customers with a broad range of financial services.
Wells Fargo focuses on commercial as well as consumer business while Norwest is the nation's biggest mortgage underwriter.
``This is an awesome, awesome franchise,'' Richard M. Kovacevich, chairman and chief executive of Minneapolis-based Norwest, said in a conference call with reporters. He will become president and chief executive of the merged bank, which will be based in San Francisco, the home of Wells Fargo.
With the companies' territories overlapping only in a few Southwestern states, Kovacevich said layoffs would be ``minimal.'' No details of planned cuts were disclosed.
The proposed deal would be the seventh largest overall and the third biggest in the banking industry. It would trail only Citicorp's planned merger with Travelers Group, which values each company at about $73 billion, and Nationsbank Corp.'s proposed $59 billion combination with BankAmerica Corp.
``We think there are complementary strengths in the two companies. We believe that the ability for the company to grow and expand is much greater ... than going it alone or looking at other possible mergers,'' said Paul Hazen, chairman and chief executive of Wells Fargo, who will become the consolidated company's chairman.
Wells Fargo has been in a big deal before, winning with an $11.3 billion bid for First Interstate Corp. of Los Angeles in 1996.
But that combination had a stormy launch. Wells had to close hundreds of branches and eliminated 7,000 jobs. It also lost customer deposits, bounced good checks and incorrectly withdrew money from some accounts and deposited it in others.
Because of those difficulties, Wells Fargo had been the subject of takeover or merger speculation for months.
``I think they were under a lot of pressure to find a merger partner,'' Campbell K. Chaney, an analyst with Sandler O'Neill & Partners in Walnut Creek, Calif., said of Wells Fargo. ``The shareholders were unhappy with the stock performance.''
Speculation had centered on a combination with U.S. Bancorp, based in Minneapolis. But Hazen and the head of U.S. Bancorp, former Wells Fargo executive John Grundhofer, ``don't necessarily see eye to eye,'' Chaney said.
Hazen said that joining with Norwest will go much more smoothly than with First Interstate largely because the partners will spend three years integrating their operations, paying special attention to the computer systems.
But the merger drew some initial criticism.
Rep. Bruce Vento, D-Minn., a member of the House Banking Committee, said he would like to see the Wells Fargo-Norwest deal called off because he fears services will be reduced in small communities.
Gail Hillebrand, a senior lawyer with Consumers Union, urged the merged bank's management to avoid what it called Wells Fargo's ``anti-consumer'' practices.
The nonprofit organization, which publishes Consumer Reports magazine, criticized the San Francisco bank for closing branches following the First Interstate deal and charging what it considers high fees.
Hazen said the companies don't plan to change fees immediately but might in the future.
Under the agreement, which requires approval from shareholders and regulators, Wells Fargo shareholders would get 10 shares of common stock of Norwest in exchange for each share of Wells Fargo common stock. That would leave Wells Fargo stockholders with about 52.5 percent of the combined company and Norwest with approximately 47.5 percent.
Wells Fargo rose $2.50 a share to close at $365.75 on the New York Stock Exchange, where Norwest was down $2.87 1/2 at $36.81 1/4.
Norwest has been one of the industry's top performing banks this decade. Wells Fargo has a history that dates back to the Gold Rush and the Pony Express.
The combined company would have offices nationwide for mortgage and consumer lending and have banks in 21 states across the Midwest, Rocky Mountain and Western regions. It would also have outlets in Canada, the Caribbean, Latin America and other countries.
Wells Fargo and Norwest expect to save at least $650 million in costs annually by the third year in operation.
As part of the deal, each company was given an option to buy up to 19.9 percent of the other company on favorable terms. Such arrangements are commonly included in merger pacts to discourage unwanted suitors from breaking up the deal.

Fed: Climate bureaucrats "twiddling their thumbs": Oppn
CANBERRA, April 29 AAP - Public servants working on the now-defunct emissions trading
scheme should not be paid to "twiddle their thumbs", the federal opposition says.
The Rudd government has pushed back from next year the start of its carbon pollution
reduction scheme to at least 2013.
Hundreds of public servants are working on the implementation of the scheme, some of
them senior staff on high salaries.
Opposition climate action spokesman Greg Hunt said the wages bill was $90 million a
year and the government must "review" the jobs.
"It's time for the government to review the phantom jobs in the phantom department
being paid real money by real taxpayers," he told reporters in Melbourne.
"We do not think that every one of those jobs there should be paid for by the taxpayer
for people to sit there and twiddle their thumbs."
Mr Hunt would not be drawn on how many public servants should be sacked.

aggravated indecent assault, and one count each of threatening injury with intent, detaining
for advantage, and having custody of a knife in a public place.

The AVO requires that Bird not make contact with Ms Milligan, and not damage or destroy
any of her personal property.
Prosecutor Matt Zalunardo told the court Bird had lied to police by alleging other
people were in the apartment at the time of the incident about 7.30am (AEST) yesterday.
"The accused person ... is actively trying to deceive police by inferring other people
were involved in the matter," Acting Sergeant Zalunardo said.
He said it appeared Bird was trying to "pin the offence" on someone else.
Sgt Zalunardo said a neighbour who recognised Bird's voice noted no other male voice
in the unit at the time.
He also said a neighbour looked in Bird's unit and saw that it was vacant after Bird
and Ms Milligan left for the hospital.
Police allege that as the pair left the apartment block, Bird told Ms Milligan to "stop
being a f..king idiot".
Ms Milligan allegedly responded: "Why did you do this to me?"
The court was told that when Bird replied "I didn't do it", she responded: "Yes, you did".
Bird's lawyer Les Nicholls challenged the police facts, saying their informant was
not in court and the alleged victim had yet to give a statement.
"The facts that are before Your Honour are circumstantial," Mr Nicholls said.
He told the court he was twice refused access to the hand-written notes of police who
attended the alleged incident, and added Bird was not a flight risk and had ties to the
community.
"If there is any breach of bail, he could be spending a long time in custody," Ms Schurr said.
The matter was adjourned for mention in Sydney's Downing Centre Local Court on October 8.

New South Wales Planning Minister FRANK SARTOR says people won't lose their homes to

The state government is under fire for draft legislation .. which critics say is designed

Mr SARTOR says legislation has long existed for the government to resume land.
He says the draft legislation will clarify existing laws .. and prevent owners from
holding out for more money.
But opposition spokesman BRAD HAZZARD says the changes are designed to acquire land
and then sell it to developers at a lower price.
He says Labor's creating a system that is right for back-handers.
Greens planning spokeswoman SYLVIA HALE says the legislation strengthens the likelihood

Qld: Thousands rally against council mergers
By Gabrielle Dunlevy
BRISBANE, Aug 3 AAP - Anger over the Queensland government's forced council reform
plans spilled on to the streets of Brisbane today, with more than 6,000 people protesting.
The biggest contingent came from Noosa shire, which would be merged with Maroochy and
Caloundra Shires to create a Sunshine Coast super-council.
Noosa residents believe the move would ruin the values of their coastal community,
such as its stance against high-rise development.
They were joined by busloads of protesters from rural areas, where it is feared council
mergers would take away much-needed jobs.
Prior to the rally, Premier Peter Beattie announced new laws to protect iconic areas
- like Noosa - based on state, national or international significance.
"Councils come and go, and indeed so do ministers, but having the protections of the
parliament through legislation - to change that you would need to change the law," he
said.
"So what we are doing is protecting these iconic parts of Queensland by law."
The law would require new regional councils to create new consolidated planning schemes
that combine former planning schemes into a single, cohesive document.
The government would ensure "local and regional values" were in the new consolidated
planning schemes.
Mr Beattie did not meet the crowd today, but representatives from his office accepted
a giant postcard.
It read: "Keep Noosa Noosa", and was signed by thousands who oppose the reforms.
Noosa mayor Bob Abbot said he had an obligation to keep fighting.
He said one elderly resident had donated his only savings - an amount of $250 - to
set up a fighting fund.
"It's a one million to one chance of winning this," he said.
"I will take this opportunity."
Mr Abbot warned there would be political consequences for the Labor Party, particularly
federal Opposition Leader Kevin Rudd, who grew up in the Sunshine Coast hinterland.
"It's really unfortunate, because I would love to see a Sunshine Coaster as the prime
minister of this country," he said.
"But I say to Kevin 'Sorry, Kevin. I can't control it any more. It's out of my hands.
There's a significant backlash about what is happening to Noosa and what is happening
to Airlie Beach.'"
Queensland Opposition Leader Jeff Seeney said the rally had sent a message the government
could not ignore.
"The premier is desperate not to give these people a say - they had their say today
in the streets of Brisbane, it's a message that he couldn't stop, and he can't deny,"
he said.
Mr Seeney said today's announcement of legislation to protect iconic areas was motivated
by panic.
"There's an element of panic creeping into the premier's responses and I think as this
protest movement builds over the next few weeks, I think he will inevitably crumble,"
he said.
Greens Senate candidate Larissa Waters supported protesters' concerns that amalgamation
would harm the Noosa environment.
"Noosa is one of our most beautiful green areas in an urban centre, that could potentially
become a concrete jungle," she said.

trust
1. An arrangement enabling property to be held by a person or persons (the trustees) for the benefit of some other person or persons (the beneficiaries). The trustee is the legal owner of the property but the beneficiary has an equitable interest in it. A trust may be intentionally created or it may be imposed by law (e.g. if a trustee gives away trust property, the recipient will hold that property as constructive trustee for the beneficiary). Trusts are commonly used to provide for families and in commercial situations (e.g. pensions trusts).
2. A monopoly formed in the USA, in which the owners of merging corporations gave their stock to a board of trustees, who were empowered to act on their behalf. Such monopolies were largely outlawed by the antitrust laws.
St. Bernard's Research-Based UpdateEXPERT Selected by RippleTech as Its Private Label Patch Management Tool.
Business Editors/High-Tech Writers
SAN DIEGO--(BUSINESS WIRE)--Feb. 18, 2003
UpdateEXPERT(R) Re-Branded as PatchWorks to Increase Security and
Stability of Windows Systems for RippleTech's Customer Base
St. Bernard Software Inc., a global provider of security solutions that protect against data loss, system threats and Internet abuse, today announced that RippleTech Inc. has developed a private-label version of St. Bernard's UpdateEXPERT(R) patch management and remediation software.
RippleTech, a leading developer of results-focused Windows systems management software, launched a marketing and distribution effort of the software to their Windows customers on Feb. 11, 2003. The RippleTech version is marketed under the name PatchWorks.
Under the non-exclusive licensing agreement with St. Bernard, RippleTech will market PatchWorks worldwide, except for Japan. This private-label software will enable RippleTech's customers to scan networked systems for prescribed and applicable patches. Then, PatchWorks will reliably and easily fix the weaknesses discovered.
"This private-label version of St. Bernard's patch management and remediation product will provide a broader, robust solution for systems managers who are rightly focused on defending against today's ever-increasing level of system threats," said Kevin Davies, president of RippleTech, which is based in Plymouth Meeting, Pa. "Incorporating PatchWorks into our product offerings represents a tremendous market opportunity for our company as well as a winning, high-in-demand solution to our customers."
UpdateEXPERT identifies security and stability vulnerabilities by evaluating missing and out-of-date hotfixes, service packs and other patches on networked workstations and servers. It then deploys and validates the appropriate patches through a central management console. The tool is based on a comprehensive and thoroughly tested database that is continuously updated with the latest patches. As a result, administrators no longer have to search the Web to keep up with the latest fixes. In addition, each patch is verified and tested by St. Bernard patch management experts to determine deployment interdependency issues. The testing and verification performed by St. Bernard Software takes the guesswork out of the process of deployment and enhances reliability.
"Our partnership with RippleTech is a 'natural,'" said Gary Stowell, vice president of business development at St. Bernard Software. "RippleTech markets to businesses who want to keep their mission-critical Windows machines up-to-date and secure. Patch management and remediation is a critical component of this process. With our intelligent, research-based patch management tool in place, RippleTech offers to their customers an easy, reliable and cost-effective way to establish and ensure adherence to corporate security policies."
In addition to its patch management and remediation tool, UpdateEXPERT, St. Bernard's products include Open File Manager(TM), which prevents data loss during backups due to open files and iPrism(R), an Internet filtering appliance that monitors, filters and reports on an organization's Web activity.

Slow sales for holiday season.
Asian countries' retailers face lower consumer confidence and economies that are starting to feel the global downturn Shopping is a national obsession in Singapore, yet this Lunar New Year retailers are struggling to get the city's usually insatiable shoppers to part with their cash as a cloud of economic gloom hangs over Asia. "Even though there's a 50 per cent sale on here, look at the sales counter, there's no one queuing. That's not normal," said Mrs Them, a house wife, browsing through a department store at the city's renowned Orchard Road shopping district. The Lunar New Year, which starts on January 26, comes hard on the heels of Christmas, signalling a traditional two-month shopping frenzy in most of East Asia as consumers splash out on seasonal foods as well as gifts and new clothes for the holidays. This year, though, shoppers are showing signs of restraint as a global economic crisis knocks consumer confidence across Asia and prompts governments and retailers to conjure up new ways to bolster spending. "It's going to be tough for Asian retailers, perhaps not quite as tough as in Europe and the US but we will see slower growth," said Paul McKenzie, head of consumer research at CLSA Hong Kong. He expects retail sales growth in Hong Kong and Singapore to be negative this year, or flat at best, compared with a rise of about 11.5 per cent and five per cent respectively last year. Slower growth in tourism, which accounts for 20 to 30 per cent of retail sales in Hong Kong, is expected to hurt retailers there. In China, HSBC forecasts annual retail sales growth to slow to a nominal rate of 15 per cent this year from about 18 per cent in 2008 as consumers tighten their belts amid a slowdown. To stimulate its economy, China will give its neediest citizens hand-outs of up to $26, while Taiwan will dole out the equivalent of $109 in shopping vouchers to brighten the mood before the Chinese new year holiday. Retailers globally have been hurt by a deteriorating economic outlook. In the US, stores experienced their most dismal Christmas holiday sales in 40 years, while a growing list of household names have disappeared off Britain's high street. But analysts say Asian retailers have an advantage as the impact of the economic crisis is far less than in the US and Europe. Also, consumer spending will likely benefit from sizeable government fiscal packages of about $640 billion in Asia, excluding Japan, hefty interest rate cuts and lower fuel prices. Still, with Hong Kong, Japan and Singapore all in recession, and Korea's economy tipped to contract in 2009 for the first time in 11 years, this year's shopping season could prove critical. "Everyone is worried about what will happen after Chinese New Year, when the impetus of the Christmas and new year shopping period is over," said Terry O'Connor, regional CEO for Courts, an electronic and furniture retailer that has 80 stores in Southeast Asia. "Consumers are cautious but it's not a disaster in Asia." Asia has enjoyed surging growth in recent years which has expanded the ranks of a middle-class keen to acquire the trappings of their newfound affluence. But in a region heavily dependent on exports, which fell sharply in December, cuts in work orders are leading to lay-offs in factories across the region. The International Monetary Fund predicts that Asia's economy will grow 4.9 per cent this year compared to a forecast of six per cent in 2008. The mood in Japan is particularly glum as it enters what some economists say might be its longest recession on record. Japan's no. 3 department store chain Takashimaya Company said sales at its flagship store in Tokyo fell five per cent year-on-year in the first two trading days of this year, a period that traditionally marks an annual ritual of bargain hunting. Discretionary items such as designer clothes and electronics are being hit hard, while stores report relatively solid sales of food items as people choose to spend more time at home. "Our immediate goal is just to survive," said Ichiro Fukuyama, associate director at J Front Retailing, the country's second largest department store chain. Consumer expenditure across Asia is expected to slow in 2009 and consumer confidence has been hurt. In China, 46 per cent of consumers thought the country's economic situation was good in November compared to 90 per cent in April 2007. Meanwhile, service sector sentiment in Japan, watched closely for consumer and retail trends, hit a record low in December.
